We are a U.S.-registered creative design agency providing global digital-design solutions, including website design, mobile-app UI/UX, corporate branding, and marketing asset creation.
2. Acceptance of Terms
By accessing the Site or hiring us for Services, you:
- Confirm that you are at least 18 years old and legally able to enter into binding contracts.
- Acknowledge that you have read, understood, and accepted these Terms and our Privacy Policy.
- Agree to comply with all applicable laws and regulations when using our Site or Services.
We may revise these Terms periodically. Updates will appear on this page with an updated “Effective Date.” Continued use of the Site after updates constitutes acceptance of the new Terms.
3. Scope of Services
Big Bash Studio provides a range of creative and digital-design solutions, including but not limited to:
- Website and landing-page design
- Mobile-app interface and product UI/UX
- Corporate identity and logo design
- Brand-guideline development
- Marketing assets (social, digital, and print)
All project details, deliverables, and timelines will be outlined in written proposals, quotes, or contracts exchanged between Big Bash Studio and the client.
4. Client Responsibilities
To enable successful delivery of our Services, you agree to:
- Provide accurate and complete information, brand materials, or assets needed for the project.
- Respond promptly to feedback, approvals, or clarification requests.
- Ensure that any materials you provide (logos, text, images, etc.) do not infringe third-party rights.
- Comply with agreed payment schedules and terms.
Failure to provide timely input or payment may delay project timelines or result in suspension of Services.
5. Pricing, Payment, and Invoicing
5.1 Payment Methods
We accept payments through Upwork, PayPal, or other mutually agreed secure platforms.
5.2 Invoicing
Invoices will clearly state the total project cost, milestones, and due dates. Payments must be made in the agreed currency (typically USD).
5.3 Late Payments
Invoices not settled within 10 days of the due date may incur a 1.5% monthly interest (or the maximum permitted by law). We may pause work until payment is received.
5.4 Taxes
Clients are responsible for any local taxes, duties, or bank-transfer fees arising from their payments.
6. Revisions and Change Requests
We strive to deliver results that match your expectations. Each project includes a specified number of revisions, stated in your project proposal.
Additional revisions or major scope changes requested after approval may incur extra charges and extend delivery timelines.
All revision requests must be communicated in writing (email or project portal).
7. Delivery and Acceptance
Final design files or deliverables will be provided in agreed formats (e.g., PDF, PSD, AI, Figma, ZIP package, etc.) once payment has been completed.
You will have five (5) business days to review the final work and notify us of any minor issues. If no response is received within that period, the deliverables will be deemed accepted.
8. Intellectual Property Rights
8.1 Ownership by Big Bash Studio
All preliminary design concepts, drafts, source files, and proprietary tools remain the sole property of Big Bash Studio until full payment has been received.
8.2 Ownership Transfer
Upon full payment, you obtain full rights to the final approved deliverables. We retain the right to display completed projects in our portfolio, marketing materials, and case studies unless otherwise agreed in writing.
8.3 Client-Provided Materials
You warrant that any content, trademarks, or assets supplied to us do not infringe third-party rights and grant us a non-exclusive license to use them for the purpose of fulfilling your project.
9. Confidentiality
We treat all non-public information shared by clients as confidential. We will not disclose such information to third parties except:
- When required to complete the project (e.g., with hosting partners).
- When legally required by court order or regulation.
- When you provide written consent.
We expect clients to maintain confidentiality about our internal processes, pricing, and proprietary tools as well.
10. Warranties and Disclaimers
- Our Services are provided on an “as-is” and “as available” basis.
- We make no guarantees that the Site will be uninterrupted, error-free, or free from harmful components.
- While we follow industry-best practices, design results depend on multiple factors beyond our control (e.g., browser updates, user settings, third-party integrations).
To the fullest extent permitted by law, Big Bash Studio disclaims all warranties, express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law:
- Big Bash Studio shall not be liable for indirect, incidental, special, or consequential damages arising from your use of our Site or Services.
- Our total aggregate liability for any claim shall not exceed the total amount you paid us for the specific project giving rise to the claim.
- We are not liable for damages resulting from third-party software, plugins, hosting services, or force-majeure events (e.g., acts of God, internet outages, cyberattacks, etc.).
Some jurisdictions do not allow such limitations; in those cases, liability will be limited to the minimum permitted by law.
12. Third-Party Links and Tools
Our Site may include links to third-party websites (e.g., Upwork, PayPal, social-media pages). These are provided for convenience only.
We are not responsible for the content, policies, or practices of any external sites or services linked from our Site.
Use of third-party tools or platforms is at your own risk and subject to their terms.
13. Termination of Services
Either party may terminate an ongoing project with written notice if the other party:
- Fails to make payment as agreed, or
- Materially breaches these Terms and does not cure the breach within 10 business days of notice.
Upon termination, you agree to pay for work completed up to the date of termination.
If termination occurs after significant progress, partial deliverables may be shared at our discretion.
14. Indemnification
You agree to indemnify, defend, and hold harmless Big Bash Studio and its officers, employees, agents, and affiliates from any claim, loss, liability, damages, or expenses (including attorneys’ fees) arising out of:
- Your use of the Site or Services,
- Your breach of these Terms, or
- Violation of any rights of a third party, including intellectual-property or privacy rights.
15. International Use
Although our headquarters are in St. Petersburg, Florida, we work with clients worldwide. You are responsible for ensuring that your use of our Site and Services complies with all local laws and regulations applicable in your jurisdiction.
16. Governing Law and Jurisdiction
These Terms are governed by and construed under the laws of the State of Florida, USA, without regard to its conflict-of-law principles.
Any dispute arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in Pinellas County, Florida.
You consent to the personal jurisdiction of these courts.
17. Dispute Resolution and Arbitration (Optional Clause)
Before resorting to formal litigation, both parties agree to attempt good-faith negotiation for 30 days.
If a resolution is not reached, either party may submit the dispute to binding arbitration under the rules of the American Arbitration Association (AAA).
Arbitration shall occur in Florida, in English, and the arbitrator’s decision will be final and binding.
18. Intellectual Property on the Website
All text, graphics, logos, icons, code, and other materials displayed on bigbashstudio.com are the intellectual property of Big Bash Studio or its licensors.
You may not copy, modify, distribute, or use any Site content for commercial purposes without prior written consent.
19. Privacy and Data Protection
Your use of our Site and Services is also governed by our Privacy Policy.
By agreeing to these Terms, you acknowledge that you have read and understood that policy.
20. No Agency or Partnership
Nothing in these Terms shall create any partnership, joint venture, employment, or agency relationship between you and Big Bash Studio.
Neither party has authority to bind the other without written consent.
21. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
22. Entire Agreement
These Terms, together with any signed proposal or project agreement and our Privacy Policy, constitute the entire agreement between you and Big Bash Studio and supersede all prior communications or understandings.
