Welcome to Big Bash Studio Ltd (trading as “Big Bash Studio”) (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website https://bigbashstudio.com
(the “Site”) and all design, branding, and digital services offered by us (collectively, the “Services”).
By accessing or using our Site or engaging our Services, you agree to comply with and be bound by these Terms. If you do not agree, you must not use the Site or our Services.
These Terms are entered into between Big Bash Studio Ltd (“Company”, “we”, “us”, or “our”), a company registered in the United Kingdom, and the purchaser of our services (“Customer” or “you”).
Big Bash Studio Ltd operates under the trading name “Big Bash Studio.”
These Terms and Conditions apply to all services and deliverables provided by the Company. Together with any quotation, proposal, or agreement issued to the Customer, they form the entire agreement between the Company and the Customer.
In the event of any conflict between these Terms and a specific quotation or agreement, the terms outlined in the quotation or agreement shall prevail.
By using the services provided by Big Bash Studio, you affirm that you have read, understood, and accepted these terms and conditions. If you have any questions or concerns, please contact us before signing the contract. If you do not agree to these terms, please do not use our services.
By “Product” we mean website, SEO, A/B testing, or other digital marketing services, according to the submitted quotation. Any other services, additions, or inquiries in addition to what can be found on the Customer’s current website or is stated in “Other notes” are considered as inquiries and will be offered by Big Bash Studio.
Before the project begins, Big Bash Studio will conduct an onboarding meeting (the “Onboarding Meeting”) with the Client. The purpose of the Onboarding Meeting is to present a project structure that will serve as the foundation for the remainder of the project.
During the Onboarding Meeting, Big Bash Studio will display the design of the Product through a web meeting. It is important to note that this initial design may be subject to modifications and revisions throughout the course of the project, contingent upon mutually agreed-upon terms and conditions established during the project’s progression.
If your website includes multiple languages, we will install the necessary translation plugin and adjust the design to support those languages. However:

The Customer is responsible for, and warrants, that the data and materials provided by the Customer to Big Bash Studio are accurate and do not infringe on third-party intellectual property rights. Big Bash Studio is solely responsible for images provided by Big Bash Studio.
The project begins when both Big Bash Studio and the Customer sign the offer submitted by Big Bash Studio, or such other date as stated in the signed offer. Before signing, the Customer is entitled to request additional functionality and/or content that is not present is the Customer’s current website at the time of signing the agreement.
The customer is assigned a project manager who will be available and helpful throughout the implementation of the project. The project manager is the Customer’s contact person to answer any questions and receive material. The project manager will during the project plan one or several meetings with the Customer where the Product will be displayed. The project manager determines what is reasonable in terms of the number of meetings, and they will work with the customer to schedule and coordinate these meetings.
The customer may supply Big Bash Studio with various forms of content, including but not limited to pictures, texts, and other relevant materials (“Customer material”). Alternatively, Big Bash Studio will utilize the content present on the Customer’s existing website, in addition to utilizing royalty-free images sourced from image databases.
The Customer can communicate design changes to the Product during the project. These requested changes are to be sent to the Customer’s dedicated project manager through Basecamp, MarkUp, or via email. Should the Customer request additional functionality or content outside of what can be found in the Customer’s current website or what is specified in the agreement, then these requests are regarded as additional orders and will be offered by Big Bash Studio.
If the project takes longer than 90 days, goes through more than 3 revisions, or exceeds the set number of hours calculated by dividing the contract price by £103
, we will charge an extra £103
per hour for any additional work. This starts from when the contract is signed, as long as we give you the first draft within 30 days of starting.
If we take more than 30 days to deliver the first draft, then the extra charges apply after 60 days or 3 revisions from when you get the draft. The set number of hours before extra charges, calculated by dividing the contract price by £103
hasn’t changed in this scenario.
These extra charges on top of the contract price, will apply no matter if the delays are because of mistakes on our end or if you need more time to review the work. The reason for this policy is to prevent the project from dragging on too long or getting stuck.
The Customer can, at any time after delivery is complete, contact Big Bash Studio via Basecamp or through our support email (info@bigbashstudio.com) with requests for additional changes. These requests are then regarded as requests for price indications and will be offered by Big Bash Studio via Basecamp or our support email (info@bigbashstudio.com).
Big Bash Studio is a separate entity from any platform it utilizes, including but not limited to WordPress (Automattic Inc), Shopify (Shopify Inc), Facebook (Meta Platforms, Inc), Google (Google LLC), Hostinger (Hostinger International, Ltd), Basecamp (37signals), Stripe (Stripe, Inc), MarkUp (MarkUp Inc), and others. Consequently, Big Bash Studio cannot be held accountable for any issues or restrictions arising from the platforms or the actions of their partners or suppliers.
Big Bash Studio is responsible for finding a suitable hosting solution and connecting the Customer’s domain to the Product unless otherwise stated in the contract. The Customer is responsible for providing Big Bash Studio with any needed information or login credentials needed to deploy the website and connect the domain.
Big Bash Studio utilizes the achieved milestones to initiate debit transactions on the Customer’s credit card. The Customer’s card is automatically charged accordingly. Each milestone represents a specific percentage of the total project price: Milestone 1 accounts for 20%, Milestone 2 for 30%, Milestone 3 for 30%, Milestone 4 for 10%, and Milestone 5 for 10%.
By signing the contract and beginning work with Big Bash Studio, the Customer agrees that all payments made toward achieved milestones are non-refundable, and Big Bash Studio retains the right to keep the funds associated with each milestone, to cover work expenses, regardless of the Customer’s subjective satisfaction with the work. The Customer acknowledges that the payment for each milestone represents acceptance of the work completed up to that point.
In the event that you choose to terminate your website subscription prematurely, you are obliged to settle the remaining dues of the subscription term, along with a termination/buyout fee of £740
. The total fee will be calculated by deducting any payments you’ve already made from the total subscription cost plus £740
. You must pay this final balance in full within 30 days from the date you notify us of the cancellation or from the date your payment method is declined for more than 45 days, which we also consider as a notification of cancellation.
Please be aware that all payments made towards your subscription are final and non-refundable.
If a payment declined by the card provider is not resolved within twenty-four (24) hours, a fee of fifty dollars (£37) will be applied to cover the involvement of our finance team in resolving the issue. This fee will be charged automatically once the payment remains outstanding beyond the stated timeframe.
Please be aware that all payments made towards your subscription are final and non-refundable.
Clients paying via monthly installments acknowledge that Big Bash Studio retains full ownership of the website and all associated materials until payment is received in full. During this period:
In addition, if Big Bash Studio has reasonable grounds to believe that the Customer is attempting to avoid or delay fulfilling the full contract amount, Big Bash Studio reserves the right to accelerate payment and immediately charge the Customer the remaining balance of the contract in full. In such cases, the installment plan will be terminated, and the outstanding balance shall become due immediately.
This clause ensures that all payments are completed before ownership is transferred to the Customer.
The Customer must notify Big Bash Studio in writing of any objections to a charge/invoice within seven (7) days from the charge/invoice date. If no objection is received within this period, the charge/invoice shall be deemed accepted and approved by the Customer.
We will charge the monthly fee to the payment method provided during the project payment process. If no valid card information is on file, the subscription charges will be invoiced to the Customer using the contact information provided during the project.
In the event the Customer fails to provide Big Bash Studio with feedback for more than twenty-one (21) days in a row, Big Bash Studio has the right to charge or invoice the Customer the next Milestone, according to bullet 13 in this document, up to the entire amount (100%) that the order refers to. This policy maintains its consistency in execution, disregarding any payment terms other than the Milestones, even if they are specified in the contract.
The customer then has another six (6) months to contact Big Bash Studio to resume the project. Otherwise, Big Bash Studio will deliver the Product as far as it can be completed. In connection with this, the project is terminated, and Big Bash Studio no longer has any responsibility for completing the Product.
If, due to the Customer’s failure to provide feedback for more than twenty-one (21) days in a row and Big Bash Studio is unable to collect payments as agreed upon, the project will be forwarded to our Collections Agency and our Lawyer firm. The Customer shall be responsible for any additional fees, costs, legal expenses, or other expenses associated with the collections process and/or the project.
A customer can only cancel or pause a project if they have made payments up to the current milestone their project is at (according to bullet 13 in this document) or the minimum requirement of Milestone 2 (50% total) (Milestone 2 would be our termination/pause fee), even if the project hasn’t reached Milestone 2 yet. You can find the percentage value assigned to each milestone in bullet point number 13 in this document. Big Bash Studio reserves the right to terminate the agreement immediately if the client breaches any of these Terms and Conditions. To cancel a website project you need to written notice in advance. This notice should be submitted in writing to Big Bash Studio via our support email (info@bigbashstudio.com) or Basecamp.
In addition, if the project is canceled and has the Monthly payment plan, the Customer agrees to pay for all hours worked up to the date of cancellation.
By signing this contract, you acknowledge and agree that we will allocate specific resources to your project immediately upon execution of this agreement. To secure these resources, an initial payment of twenty percent (20%) of the total project cost is required within seven (7) days of signing this contract.
If you decide to cancel the project within seven (7) days of the signing date, it will be considered a termination of the contract. Due to the commitment of resources and scheduling, you will be liable for fifty percent (50%) of the total project cost as compensation for the early termination.
If, at any point after commencement, you request to pause the project for any reason, you agree to pay at least fifty percent (50%) of the total project cost as a hold fee to cover resource allocation and scheduling impact. If you refuse to make this payment but still withdraw or pause the project, we reserve the right to charge up to fifty percent (50%) of the total project cost as security compensation. This liability applies regardless of payment method, including but not limited to bank transfer, credit card, installment plans, or any alternative arrangements.
In the event of non-payment, we reserve the right to engage a collections agency and pursue legal action to recover the owed amounts.
Big Bash Studio may process personal data in relation to the Customer’s representatives in connection with the project’s implementation in order to be able to fulfill the agreement. It’s important to note that the information referred to in this agreement can encompass any type of data or material shared by the customer with Big Bash Studio, or any information that is publicly accessible about the customer. The customer is responsible for ensuring that all its representatives whose information is submitted to Big Bash Studio have read and approved Big Bash Studio’s personal data policy for customer contacts. For some personal data that Big Bash Studio processes in connection with the project’s execution, the Customer is the personal data controller and Big Bash Studio personal data assistant.
The parties undertake, without limitation in time, to not disclose to third parties confidential information regarding the activities of each party. In this provision, “confidential information” means any task – technical, commercial, or other – regardless of whether the information is documented or not, with the exception of information that is or becomes generally known or which has come or comes to public knowledge other than through the breach of this provision by a party.
We require that all complaints, inquiries, or concerns regarding our services be exclusively communicated through Basecamp or through our support-email (info@bigbashstudio.com). These channels have been established as our primary means of efficient and direct communication with our clients, ensuring that we can promptly and effectively address any issues. Please be advised that the use of bank transactions or financial institutions for dispute resolution or communication is strongly discouraged and will not be considered a valid or efficient method of contact. Utilizing Basecamp or email guarantees clear and documented communication, enabling us to expedite the resolution process and provide you with the most efficient service experience possible.
In the event that the Customer is a legal entity (e.g., limited company) and that entity is dissolved, liquidated, declared inactive, or otherwise ceases operations for any reason, the individual(s) who signed this agreement on behalf of the Customer shall be deemed personally liable, jointly and severally, for all outstanding payments and obligations under this agreement. This includes, but is not limited to, any remaining milestone payments, termination fees, subscription dues, collections-related costs, or other fees accrued as per the terms of this agreement. This clause ensures continuity of payment responsibility and shall survive the dissolution or termination of the Customer’s business entity.

You agree to indemnify, defend, and hold harmless Big Bash Studio and its officers, employees, agents, and affiliates from any claim, loss, liability, damages, or expenses (including attorneys’ fees) arising out of:
Although our headquarters are in St. Petersburg, Florida, we work with clients worldwide. You are responsible for ensuring that your use of our Site and Services complies with all local laws and regulations applicable in your jurisdiction.
These Terms are governed by and construed under the laws of the State of Florida, USA, without regard to its conflict-of-law principles.
Any dispute arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in Pinellas County, Florida.
You consent to the personal jurisdiction of these courts.
Before resorting to formal litigation, both parties agree to attempt good-faith negotiation for 30 days.
If a resolution is not reached, either party may submit the dispute to binding arbitration under the rules of the American Arbitration Association (AAA).
Arbitration shall occur in Florida, in English, and the arbitrator’s decision will be final and binding.
All text, graphics, logos, icons, code, and other materials displayed on bigbashstudio.com are the intellectual property of Big Bash Studio or its licensors.
You may not copy, modify, distribute, or use any Site content for commercial purposes without prior written consent.
Your use of our Site and Services is also governed by our Privacy Policy.
By agreeing to these Terms, you acknowledge that you have read and understood that policy.
Nothing in these Terms shall create any partnership, joint venture, employment, or agency relationship between you and Big Bash Studio.
Neither party has authority to bind the other without written consent.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
These Terms, together with any signed proposal or project agreement and our Privacy Policy, constitute the entire agreement between you and Big Bash Studio and supersede all prior communications or understandings.
