Welcome to Big Bash Studio Ltd (trading as “Big Bash Studio”) (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website https://bigbashstudio.com
(the “Site”) and all design, branding, and digital services offered by us (collectively, the “Services”).

By accessing or using our Site or engaging our Services, you agree to comply with and be bound by these Terms. If you do not agree, you must not use the Site or our Services.

1. General

These Terms are entered into between Big Bash Studio Ltd (“Company”, “we”, “us”, or “our”), a company registered in the United Kingdom, and the purchaser of our services (“Customer” or “you”).

Big Bash Studio Ltd operates under the trading name “Big Bash Studio.”

These Terms and Conditions apply to all services and deliverables provided by the Company. Together with any quotation, proposal, or agreement issued to the Customer, they form the entire agreement between the Company and the Customer.

In the event of any conflict between these Terms and a specific quotation or agreement, the terms outlined in the quotation or agreement shall prevail.

2. Acceptance of Terms

By using the services provided by Big Bash Studio, you affirm that you have read, understood, and accepted these terms and conditions. If you have any questions or concerns, please contact us before signing the contract. If you do not agree to these terms, please do not use our services.

3. Product

By “Product” we mean website, SEO, A/B testing, or other digital marketing services, according to the submitted quotation. Any other services, additions, or inquiries in addition to what can be found on the Customer’s current website or is stated in “Other notes” are considered as inquiries and will be offered by Big Bash Studio.

4. Design

Before the project begins, Big Bash Studio will conduct an onboarding meeting (the “Onboarding Meeting”) with the Client. The purpose of the Onboarding Meeting is to present a project structure that will serve as the foundation for the remainder of the project.

During the Onboarding Meeting, Big Bash Studio will display the design of the Product through a web meeting. It is important to note that this initial design may be subject to modifications and revisions throughout the course of the project, contingent upon mutually agreed-upon terms and conditions established during the project’s progression.

4.1 Multilingual Sites & Translations

If your website includes multiple languages, we will install the necessary translation plugin and adjust the design to support those languages. However:

  • – Translation Quality: You are responsible for providing and proofreading all non-English content. We do not include translation editing or localization in our standard packages.
  • – Language Variations: For languages like Spanish, where regional differences exist, you must provide the correct version for your audience.
  • – Revisions: Excessive edits to translated content (e.g., many comments after implementation) may require additional hours and incur extra charges.

Please ensure all translations are reviewed before final delivery to avoid delays or added costs.

5. Provision of materials

The Customer is responsible for, and warrants, that the data and materials provided by the Customer to Big Bash Studio are accurate and do not infringe on third-party intellectual property rights. Big Bash Studio is solely responsible for images provided by Big Bash Studio.

6. The beginning of the project

The project begins when both Big Bash Studio and the Customer sign the offer submitted by Big Bash Studio, or such other date as stated in the signed offer. Before signing, the Customer is entitled to request additional functionality and/or content that is not present is the Customer’s current website at the time of signing the agreement.

7. Implementation of the project

The customer is assigned a project manager who will be available and helpful throughout the implementation of the project. The project manager is the Customer’s contact person to answer any questions and receive material. The project manager will during the project plan one or several meetings with the Customer where the Product will be displayed. The project manager determines what is reasonable in terms of the number of meetings, and they will work with the customer to schedule and coordinate these meetings.

8. Material from the Customer

The customer may supply Big Bash Studio with various forms of content, including but not limited to pictures, texts, and other relevant materials (“Customer material”). Alternatively, Big Bash Studio will utilize the content present on the Customer’s existing website, in addition to utilizing royalty-free images sourced from image databases.

8.3 Client-Provided Materials

9 A. Requests for changes during the duration of the project

The Customer can communicate design changes to the Product during the project. These requested changes are to be sent to the Customer’s dedicated project manager through Basecamp, MarkUp, or via email. Should the Customer request additional functionality or content outside of what can be found in the Customer’s current website or what is specified in the agreement, then these requests are regarded as additional orders and will be offered by Big Bash Studio.

9 B. Long Projects and Excess Revisions

If the project takes longer than 90 days, goes through more than 3 revisions, or exceeds the set number of hours calculated by dividing the contract price by £103

, we will charge an extra £103

per hour for any additional work. This starts from when the contract is signed, as long as we give you the first draft within 30 days of starting.

If we take more than 30 days to deliver the first draft, then the extra charges apply after 60 days or 3 revisions from when you get the draft. The set number of hours before extra charges, calculated by dividing the contract price by £103

hasn’t changed in this scenario.

These extra charges on top of the contract price, will apply no matter if the delays are because of mistakes on our end or if you need more time to review the work. The reason for this policy is to prevent the project from dragging on too long or getting stuck.

10. Requests for changes after delivery

The Customer can, at any time after delivery is complete, contact Big Bash Studio via Basecamp or through our support email (info@bigbashstudio.com) with requests for additional changes. These requests are then regarded as requests for price indications and will be offered by Big Bash Studio via Basecamp or our support email (info@bigbashstudio.com).

11. Platform restrictions

Big Bash Studio is a separate entity from any platform it utilizes, including but not limited to WordPress (Automattic Inc), Shopify (Shopify Inc), Facebook (Meta Platforms, Inc), Google (Google LLC), Hostinger (Hostinger International, Ltd), Basecamp (37signals), Stripe (Stripe, Inc), MarkUp (MarkUp Inc), and others. Consequently, Big Bash Studio cannot be held accountable for any issues or restrictions arising from the platforms or the actions of their partners or suppliers.

12. Hosting and domain

Big Bash Studio is responsible for finding a suitable hosting solution and connecting the Customer’s domain to the Product unless otherwise stated in the contract. The Customer is responsible for providing Big Bash Studio with any needed information or login credentials needed to deploy the website and connect the domain.

13.1 Payment

Big Bash Studio utilizes the achieved milestones to initiate debit transactions on the Customer’s credit card. The Customer’s card is automatically charged accordingly. Each milestone represents a specific percentage of the total project price: Milestone 1 accounts for 20%, Milestone 2 for 30%, Milestone 3 for 30%, Milestone 4 for 10%, and Milestone 5 for 10%.

By signing the contract and beginning work with Big Bash Studio, the Customer agrees that all payments made toward achieved milestones are non-refundable, and Big Bash Studio retains the right to keep the funds associated with each milestone, to cover work expenses, regardless of the Customer’s subjective satisfaction with the work. The Customer acknowledges that the payment for each milestone represents acceptance of the work completed up to that point.

  • Milestone 1 should be paid a maximum of seven (7) days after the Onboarding meeting.
  • Milestone 2 should be paid a maximum of seven (7) days after they’ve been sent the First Draft.
  • Milestone 3 should be paid a maximum of seven (7) days after entering the feedback phase, and the first feedback came in.
  • Milestone 4 should be paid a maximum of seven (7) days after the Optimization phase.
  • Milestone 5 should be paid a maximum of seven (7) days after the website is live.

13.2 Payment of Remaining Balance:

In the event that you choose to terminate your website subscription prematurely, you are obliged to settle the remaining dues of the subscription term, along with a termination/buyout fee of £740

. The total fee will be calculated by deducting any payments you’ve already made from the total subscription cost plus £740

. You must pay this final balance in full within 30 days from the date you notify us of the cancellation or from the date your payment method is declined for more than 45 days, which we also consider as a notification of cancellation.

Please be aware that all payments made towards your subscription are final and non-refundable.

13.3 Payment Failures and Additional Fees

If a payment declined by the card provider is not resolved within twenty-four (24) hours, a fee of fifty dollars (£37) will be applied to cover the involvement of our finance team in resolving the issue. This fee will be charged automatically once the payment remains outstanding beyond the stated timeframe.

Please be aware that all payments made towards your subscription are final and non-refundable.

13.4 Ownership During Installment Payments

Clients paying via monthly installments acknowledge that Big Bash Studio retains full ownership of the website and all associated materials until payment is received in full. During this period:

  • – The website must remain hosted on Big Bash Studio’s servers.
  • – It cannot be transferred, duplicated, or migrated to any other server or party without Big Bash Studio’s prior written consent.
  • – Any breach of this clause may result in immediate suspension or removal of the website, and legal action may be taken to protect Big Bash Studio’s intellectual property and recover any losses incurred.

In addition, if Big Bash Studio has reasonable grounds to believe that the Customer is attempting to avoid or delay fulfilling the full contract amount, Big Bash Studio reserves the right to accelerate payment and immediately charge the Customer the remaining balance of the contract in full. In such cases, the installment plan will be terminated, and the outstanding balance shall become due immediately.

This clause ensures that all payments are completed before ownership is transferred to the Customer.

13.5 Charge or Invoice Approval

The Customer must notify Big Bash Studio in writing of any objections to a charge/invoice within seven (7) days from the charge/invoice date. If no objection is received within this period, the charge/invoice shall be deemed accepted and approved by the Customer.

14. Business package & other monthly services

  1. A) Business Package Subscription
    The Business Package provides ongoing support (Max 10h/month) and protection for your website against internet security threats. This service includes continuous updates of the Product’s plugins to the most recent version.
  2. B)The monthly subscription fee for the Business Package will be determined by the currency in which your project was paid:

    EUR (€): €199
    SEK (kr): 1990 SEK

We will charge the monthly fee to the payment method provided during the project payment process. If no valid card information is on file, the subscription charges will be invoiced to the Customer using the contact information provided during the project.

  1. C) Subscription Activation
    The Business Package subscription will be activated automatically upon project completion, ensuring your website continues to benefit from ongoing support and security measures.
    By utilizing the Business Package, you acknowledge and agree to the applicable monthly subscription charges based on the currency of your project payment.
    By continuing to use our services and the Business Package, you accept the terms and pricing as described herein.
  2. D) Price adjustments
    To ensure we can continue delivering the excellent service you expect, package rates will be adjusted annually by 8% ( Minium £15 Maximum £59), effective January 1st each year, if our partnership continues on a month-to-month basis. This adjustment reflects increasing business costs and inflation, allowing us to maintain the quality of our work and invest in improvements that benefit you. By keeping this policy clear and consistent, we aim to provide transparency and give you ample time to plan for any changes. We’re committed to ensuring that the value of our service always exceeds your investment.
  3. E) Website Upgrade Program
    Big Bash Studio continuously improves the websites of customers who remain on active monthly service plans. As part of this commitment, eligible customers may receive periodic website upgrades according to the terms below.
  4. Website Refresh (After 12 Months)
    Customers who have maintained an active subscription with continuous monthly payments for twelve (12) months may request a Website Refresh. A Website Refresh includes design updates, layout improvements, and modernization of the existing website to maintain performance and visual standards. If the Customer chooses to proceed with a Website Refresh, the subscription will renew for a new minimum term of twelve (12) months starting from the date the refresh work begins.
  5. Complete Website Rebuild (After 24 Months)
    Customers who have maintained an active subscription with continuous monthly payments for twenty-four (24) months may request a Complete Website Rebuild. A Complete Website Rebuild includes rebuilding the website using Big Bash Studio’s current design standards, technology stack, and performance optimizations. If the Customer chooses to proceed with a Complete Website Rebuild, the subscription will renew for a new minimum term of twelve (12) months starting from the date the rebuild project begins.
  6. Scope
    Upgrade work includes standard design and performance improvements. Additional features, integrations, advanced development, or additional content creation may require additional fees.

15. Complaints

  1. A)If the Customer wishes to make a complaint regarding errors or deficiencies in the execution of the project, the Customer shall do so via Basecamp or email within a reasonable time after the errors or deficiencies were discovered. Complaints do not relieve the Customer of liability to pay for the project carried out.
  2. B)Reducing the project’s price is strictly prohibited, particularly when the client alleges that Big Bash Studio has failed to meet the anticipated timeframe or expected quality. Big Bash Studio has not agreed to any specific completion timeline or quality standards; Big Bash Studio merely offers estimated durations and project quality levels.

16. Stalled project

In the event the Customer fails to provide Big Bash Studio with feedback for more than twenty-one (21) days in a row, Big Bash Studio has the right to charge or invoice the Customer the next Milestone, according to bullet 13 in this document, up to the entire amount (100%) that the order refers to. This policy maintains its consistency in execution, disregarding any payment terms other than the Milestones, even if they are specified in the contract.

The customer then has another six (6) months to contact Big Bash Studio to resume the project. Otherwise, Big Bash Studio will deliver the Product as far as it can be completed. In connection with this, the project is terminated, and Big Bash Studio no longer has any responsibility for completing the Product.

If, due to the Customer’s failure to provide feedback for more than twenty-one (21) days in a row and Big Bash Studio is unable to collect payments as agreed upon, the project will be forwarded to our Collections Agency and our Lawyer firm. The Customer shall be responsible for any additional fees, costs, legal expenses, or other expenses associated with the collections process and/or the project.

17.1 Cancellation of website project

A customer can only cancel or pause a project if they have made payments up to the current milestone their project is at (according to bullet 13 in this document) or the minimum requirement of Milestone 2 (50% total) (Milestone 2 would be our termination/pause fee), even if the project hasn’t reached Milestone 2 yet. You can find the percentage value assigned to each milestone in bullet point number 13 in this document. Big Bash Studio reserves the right to terminate the agreement immediately if the client breaches any of these Terms and Conditions. To cancel a website project you need to written notice in advance. This notice should be submitted in writing to Big Bash Studio via our support email (info@bigbashstudio.com) or Basecamp.

In addition, if the project is canceled and has the Monthly payment plan, the Customer agrees to pay for all hours worked up to the date of cancellation.

17.2 Cancellation of recurring services

  1. A)To cancel any recurring services, including but not limited to SEO, Advertising, or Business packages, you must provide a minimum of two (2) months’ written notice in advance. This notice should be submitted in writing to Big Bash Studio via our support email (info@bigbashstudio.com) or Basecamp. The two-month notice period is intended to ensure a smooth transition and allow for the necessary adjustments in our service arrangements. Failure to provide the requisite notice may result in continued billing for the services during the notice period. After the notice period has elapsed, your recurring services will be terminated, and no further charges will be incurred. Big Bash Studio reserves the right to terminate the agreement immediately if the client breaches any of these Terms and Conditions.

18. Payment Obligations, Pause and Termination Consequences

By signing this contract, you acknowledge and agree that we will allocate specific resources to your project immediately upon execution of this agreement. To secure these resources, an initial payment of twenty percent (20%) of the total project cost is required within seven (7) days of signing this contract.

If you decide to cancel the project within seven (7) days of the signing date, it will be considered a termination of the contract. Due to the commitment of resources and scheduling, you will be liable for fifty percent (50%) of the total project cost as compensation for the early termination.

If, at any point after commencement, you request to pause the project for any reason, you agree to pay at least fifty percent (50%) of the total project cost as a hold fee to cover resource allocation and scheduling impact. If you refuse to make this payment but still withdraw or pause the project, we reserve the right to charge up to fifty percent (50%) of the total project cost as security compensation. This liability applies regardless of payment method, including but not limited to bank transfer, credit card, installment plans, or any alternative arrangements.

In the event of non-payment, we reserve the right to engage a collections agency and pursue legal action to recover the owed amounts.

19. Refunds

  1. A)Please note that refunds will not be provided for services deemed as delivered by Big Bash Studio. The product is considered to be delivered either 30 days after the customer’s most recent payment or, alternatively, 6 months after the signing of the agreement. Big Bash Studio makes the decision when it comes to evaluating and confirming the fulfillment of services, and Big Bash Studio’s decision regarding service completion is considered final. Our commitment remains focused on meeting and surpassing your expectations. Should you have any concerns about the quality or delivery of our services, we encourage you to communicate them to us promptly. We are dedicated to diligently addressing any issues and delivering satisfactory solutions. However, it’s essential to understand that services officially acknowledged as completed by Big Bash Studio will not be eligible for refunds.

20. Responsibility

  1. A)Big Bash Studio is responsible for any damage caused to the Customer through errors or negligence in the execution of the project up to the amount paid by the Customer for the project. Big Bash Studio is never liable for any damages arising from incorrect or incomplete information provided by the Customer. Big Bash Studio is not responsible for any loss of profit or income, or other indirect damage or consequential damage. The customer shall keep Big Bash Studio harmless from claims from third parties regarding materials provided by the Customer.
  2. B)By using/buying Big Bash Studio’s services, you acknowledge and agree that Big Bash Studio cannot be held responsible for any drop in performance in any way, especially if certain critical elements in the website’s back end, hidden subpages, or blog posts were not disclosed to us before the contract was signed. The pricing for our services is solely based on the information available at the time of contract signing, and any undisclosed elements or subsequent changes to the website structure may result in additional charges, subject to reevaluation and adjustment of the contract terms and pricing. You understand that the contract’s terms and conditions are contingent on the information provided to us at the outset, and we cannot take responsibility for what we were not made aware of.
  3. C) Scope Feasibility Clause
    “All projects are subject to a feasibility review. If, during the course of the review or project execution, it is determined that the requested scope of work is not technically viable or exceeds the agreed-upon capabilities, Big Bash Studio reserves the right to cancel the project. In such cases, Big Bash Studio will communicate the findings to the client and may offer a resolution such as a refund, as outlined in our Refund Policy. However, Big Bash Studio shall not be held liable for any perceived loss of time, opportunities, or business as a result of the cancellation.”
  4. D)Big Bash Studio is not responsible for covering any costs, fees, or charges incurred from third-party services, products, or platforms that may be required during the execution of the project or as part of the final deliverable. This includes, but is not limited to, hosting fees, domain registrations, third-party plugins or extensions, API integration costs, advertising expenses, platform service fees, or any other costs associated with the project. The Customer acknowledges that they are solely responsible for any third-party expenses, regardless of whether these services were recommended by Big Bash Studio or chosen independently by the Customer.

21. Intellectual property rights

  1. A)All rights to all intellectual property rights that Big Bash Studio creates within the framework of the project accrue to the Customer. The customer does not receive the right to Big Bash Studio’s intangible assets or business secrets other than as stated in the agreement. Furthermore, the Customer does not receive any rights to intellectual property rights created outside the scope of the project, or which were already owned by Big Bash Studio before the project began.
  2. B)Big Bash Studio reserves the right to link to and from the Customer’s website for promotional, portfolio, or other relevant purposes.

22. Personal data

Big Bash Studio may process personal data in relation to the Customer’s representatives in connection with the project’s implementation in order to be able to fulfill the agreement. It’s important to note that the information referred to in this agreement can encompass any type of data or material shared by the customer with Big Bash Studio, or any information that is publicly accessible about the customer. The customer is responsible for ensuring that all its representatives whose information is submitted to Big Bash Studio have read and approved Big Bash Studio’s personal data policy for customer contacts. For some personal data that Big Bash Studio processes in connection with the project’s execution, the Customer is the personal data controller and Big Bash Studio personal data assistant.

23. Privacy

The parties undertake, without limitation in time, to not disclose to third parties confidential information regarding the activities of each party. In this provision, “confidential information” means any task – technical, commercial, or other – regardless of whether the information is documented or not, with the exception of information that is or becomes generally known or which has come or comes to public knowledge other than through the breach of this provision by a party.

24. Dispute

We require that all complaints, inquiries, or concerns regarding our services be exclusively communicated through Basecamp or through our support-email (info@bigbashstudio.com). These channels have been established as our primary means of efficient and direct communication with our clients, ensuring that we can promptly and effectively address any issues. Please be advised that the use of bank transactions or financial institutions for dispute resolution or communication is strongly discouraged and will not be considered a valid or efficient method of contact. Utilizing Basecamp or email guarantees clear and documented communication, enabling us to expedite the resolution process and provide you with the most efficient service experience possible.

25. Dispute Resolution (Payment Disputes)

  1. A)The client agrees that, in the event of any dispute or disagreement regarding payments for recurring services provided by Big Bash Studio, the client shall not have the right to dispute payments as long as the services have not been canceled in accordance with Section 18 of this agreement.
  2. B)In the event of a payment dispute, the client shall first notify Big Bash Studio in writing, specifying the nature of the dispute. Big Bash Studio shall have 30 days to investigate and respond to the dispute.
  3. C)If Big Bash Studio determines, in its sole discretion, that the payment dispute is valid, Big Bash Studio may issue a refund or credit to the client’s account as appropriate.

26. Personal Liability upon Dissolution of Customer’s Entity

In the event that the Customer is a legal entity (e.g., limited company) and that entity is dissolved, liquidated, declared inactive, or otherwise ceases operations for any reason, the individual(s) who signed this agreement on behalf of the Customer shall be deemed personally liable, jointly and severally, for all outstanding payments and obligations under this agreement. This includes, but is not limited to, any remaining milestone payments, termination fees, subscription dues, collections-related costs, or other fees accrued as per the terms of this agreement. This clause ensures continuity of payment responsibility and shall survive the dissolution or termination of the Customer’s business entity.

If you book an onboarding meeting or any other meeting with us and do not show up without letting us know in advance, we will charge you $200 for the time we spent preparing and waiting for you.

Should the Customer request additional functionality or content outside of what can be found in the Customer’s current website or what is specified in the agreement, then these requests are regarded as additional orders and will be offered by Bigbash Studio.

9 B. Long Projects and Excess Revisions

If the project takes longer than 90 days, goes through more than 3 revisions, or exceeds the set number of hours calculated by dividing the contract price by 139, we will charge an extra $139 per hour for any additional work. This starts from when the contract is signed, as long as we give you the first draft within 30 days of starting.

If we take more than 30 days to deliver the first draft, then the extra charges apply after 60 days or 3 revisions from when you get the draft. The set number of hours before extra charges, calculated by dividing the contract price by 139 hasn’t changed in this scenario.

These extra charges on top of the contract price, will apply no matter if the delays are because of mistakes on our end or if you need more time to review the work. The reason for this policy is to prevent the project from dragging on too long or getting stuck.

10. Requests for changes after delivery

The Customer can, at any time after delivery is complete, contact Bigbash Studio via Basecamp or through our support email (info@bigbashstudio.com) with requests for additional changes. These requests are then regarded as requests for price indications and will be offered by Bigbash Studio via Basecamp or our support email (info@bigbashstudio.com).

11. Platform restrictions

Bigbash Studio is a separate entity from any platform it utilizes, including but not limited to WordPress (Automattic Inc), Shopify (Shopify Inc), Facebook (Meta Platforms, Inc), Google (Google LLC), Hostinger (Hostinger International, Ltd), Basecamp (37signals), Stripe (Stripe, Inc), MarkUp (MarkUp Inc), and others. Consequently, Bigbash Studio cannot be held accountable for any issues or restrictions arising from the platforms or the actions of their partners or suppliers.

12. Hosting and domain

Bigbash Studio is responsible for finding a suitable hosting solution and connecting the Customer’s domain to the Product unless otherwise stated in the contract. The Customer is responsible for providing Bigbash Studio with any needed information or login credentials needed to deploy the website and connect the domain.

13.1 Payment

Bigbash Studio utilizes the achieved milestones to initiate debit transactions on the Customer’s credit card. The Customer’s card is automatically charged accordingly. Each milestone represents a specific percentage of the total project price: Milestone 1 accounts for 20%, Milestone 2 for 30%, Milestone 3 for 30%, Milestone 4 for 10%, and Milestone 5 for 10%.

By signing the contract and beginning work with Bigbash Studio, the Customer agrees that all payments made toward achieved milestones are non-refundable, and Bigbash Studio retains the right to keep the funds associated with each milestone, to cover work expenses, regardless of the Customer’s subjective satisfaction with the work. The Customer acknowledges that the payment for each milestone represents acceptance of the work completed up to that point.

  • Milestone 1 should be paid a maximum of seven (7) days after the Onboarding meeting.
  • Milestone 2 should be paid a maximum of seven (7) days after they’ve been sent the First Draft.
  • Milestone 3 should be paid a maximum of seven (7) days after entering the feedback phase, and the first feedback came in.
  • Milestone 4 should be paid a maximum of seven (7) days after the Optimization phase.
  • Milestone 5 should be paid a maximum of seven (7) days after the website is live.

13.2 Payment of Remaining Balance:

In the event that you choose to terminate your website subscription prematurely, you are obliged to settle the remaining dues of the subscription term, along with a termination/buyout fee of $1000. The total fee will be calculated by deducting any payments you’ve already made from the total subscription cost plus $1000. You must pay this final balance in full within 30 days from the date you notify us of the cancellation or from the date your payment method is declined for more than 45 days, which we also consider as a notification of cancellation.

Please be aware that all payments made towards your subscription are final and non-refundable.

14. Indemnification

You agree to indemnify, defend, and hold harmless Big Bash Studio and its officers, employees, agents, and affiliates from any claim, loss, liability, damages, or expenses (including attorneys’ fees) arising out of:

  • Your use of the Site or Services,
  • Your breach of these Terms, or
  • Violation of any rights of a third party, including intellectual-property or privacy rights.

15. International Use

Although our headquarters are in St. Petersburg, Florida, we work with clients worldwide. You are responsible for ensuring that your use of our Site and Services complies with all local laws and regulations applicable in your jurisdiction.

16. Governing Law and Jurisdiction

These Terms are governed by and construed under the laws of the State of Florida, USA, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in Pinellas County, Florida.
You consent to the personal jurisdiction of these courts.

17. Dispute Resolution and Arbitration (Optional Clause)

Before resorting to formal litigation, both parties agree to attempt good-faith negotiation for 30 days.
If a resolution is not reached, either party may submit the dispute to binding arbitration under the rules of the American Arbitration Association (AAA).
Arbitration shall occur in Florida, in English, and the arbitrator’s decision will be final and binding.

18. Intellectual Property on the Website

All text, graphics, logos, icons, code, and other materials displayed on bigbashstudio.com are the intellectual property of Big Bash Studio or its licensors.

You may not copy, modify, distribute, or use any Site content for commercial purposes without prior written consent.

19. Privacy and Data Protection

Your use of our Site and Services is also governed by our Privacy Policy.
By agreeing to these Terms, you acknowledge that you have read and understood that policy.

20. No Agency or Partnership

Nothing in these Terms shall create any partnership, joint venture, employment, or agency relationship between you and Big Bash Studio.
Neither party has authority to bind the other without written consent.

21. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms, together with any signed proposal or project agreement and our Privacy Policy, constitute the entire agreement between you and Big Bash Studio and supersede all prior communications or understandings.
